Terms of Service
Last updated October 14, 2026
These terms govern your use of DeltaLLM Cloud (the "Service"), a hosted AI gateway operated by DeltaLLM ("we", "us"). By creating an account or using the Service, you agree to these terms. If you use the Service on behalf of an organization, you agree on its behalf.
1. The Service
DeltaLLM Cloud gives you one API to send requests to large language models from third-party providers such as OpenAI, Anthropic and Google. It includes API key management, usage tracking and spend controls. The Service works only with your own accounts and API keys at those providers ("bring your own key"). We do not sell or resell access to models. Each provider bills you directly for your use of its models, under your agreement with it.
Model outputs are generated by third-party providers. We do not control and are not responsible for their content, accuracy or availability, and your use of each model is also subject to that provider's terms and usage policies.
2. Accounts
You sign in with a Google account. You are responsible for activity under your account and your API keys, and for keeping them secure. Tell us promptly at contact@deltallm.io if you believe your account or a key has been compromised. You must be at least 18 years old to use the Service.
3. Fees and payment
Platform fee. We charge a platform fee of 3% of the usage cost of the requests you send through the Service. There is no fixed monthly fee, no seat fee and no prepaid balance.
Usage cost. For each request, the usage cost is the number of tokens and other billed units that the provider reports for that request, multiplied by that provider's public list price for the model on the day of the request. Where we have no list price for a model, we use a default rate of $1 per million input tokens and $4 per million output tokens. The Service shows the rate used for each of your models before you use it, and a running total of your usage cost and fee for the current billing period. The usage cost is a basis for the fee only. It is not what your provider charges you, which can be lower or higher because of your own discounts, free tiers or agreements with that provider. Requests that return no billed tokens have no usage cost.
Billing period and charges. Your monthly billing period starts on the day you add a payment method. At the end of each period, we charge the platform fee for that period's usage, rounded to the nearest cent, plus any applicable sales tax or VAT, to your saved payment method. If the fee for a period is zero, we charge nothing. If the amount due for a period is less than $1, we do not charge it then: we add it to the next period's charge. We email you a receipt for each charge.
Recurring billing consent. When you add a payment method, you authorize us, through our payment processor, to charge it automatically once a month, after each billing period, for the platform fee and tax described above, until you cancel. The amount of each charge varies with your usage. You can set spend limits on your API keys to control it. You can withdraw this authorization at any time by cancelling as described in section 8.
Failed payments. If a charge fails, we and our payment processor may retry it. We may pause your API keys until the amount due is paid.
Price changes. We may change the platform fee or how the usage cost is calculated with at least 14 days' notice by email. A change applies only to usage after it takes effect.
Payments are handled by a third-party payment processor, which stores your payment method, processes each charge, issues your receipt, and collects any applicable sales tax or VAT. Billing errors and refunds are covered by our Refund Policy.
4. Acceptable use
You agree not to use the Service to:
- break any law, or infringe anyone's intellectual property, privacy or other rights;
- generate or distribute content that sexualizes minors, promotes violence or terrorism, harasses others, or is otherwise unlawful;
- create malware, conduct fraud, phishing or spam, or attack any system or network;
- violate the usage policies of the model providers you access;
- resell or provide the Service to third parties as a standalone gateway without our written permission;
- probe, overload or interfere with the Service, or get around rate limits, spend limits or security controls.
We may suspend or close accounts that break these rules.
5. Your content
You keep all rights to the prompts you send and the outputs you receive. You give us permission to process them only as needed to run the Service, as described in our Privacy Policy. We do not use your content to train models.
6. Open source
The DeltaLLM gateway is open source under the MIT license. These terms cover the hosted Service only; the open-source software is governed by its own license.
7. Availability and changes
We work to keep the Service available but do not guarantee it will be uninterrupted or error-free. We may change or discontinue features. If we discontinue the Service, we will give at least 30 days' notice. Your last charge will cover only the platform fee on usage up to the date the Service ends.
8. Cancellation and termination
You can cancel at any time from the Billing page in the Service, or by emailing contact@deltallm.io from the address on your account. There is no cancellation fee. When you cancel, your API keys stop working right away, we make one final charge for the platform fee on usage from the start of the current billing period until the moment you cancelled, together with any smaller amounts carried forward from earlier periods. If that final amount is less than $1, we waive it. We make no charges after that. You can also ask us to close your account, which cancels billing in the same way.
We may suspend or terminate your access if you breach these terms or do not pay amounts due. If we terminate your access, you owe only the platform fee on usage up to the date of termination.
9. Disclaimers and liability
The Service is provided "as is" and "as available", without warranties of any kind, to the extent permitted by law. To the extent permitted by law, our total liability for any claim relating to the Service is limited to the platform fees you paid us in the 12 months before the claim, and we are not liable for indirect, incidental or consequential damages, or for lost profits or data.
10. Governing law
These terms are governed by the laws of France, and the courts of Paris have jurisdiction over any dispute. Nothing in these terms limits any rights you have under the consumer protection laws of your country of residence that cannot be waived.
11. Changes to these terms
We may update these terms. If a change is material, we will tell you by email or in the Service at least 14 days before it takes effect. Continuing to use the Service after that means you accept the updated terms.
